1. Acceptance of Terms

By accessing or using the website at mindsspeakinternational.com ("Site" or "Platform"), you ("User") agree to be legally bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Mindsspeak International Private Limited under the Indian Contract Act, 1872. If you do not agree to these Terms, you must immediately cease use of the Site.

These Terms apply to all visitors, users, clients, and others who access or use the Site. Use of the Site constitutes acceptance of these Terms and our Privacy Policy.

Mindsspeak International Private Limited (trading as "Mindsspeak International"; hereinafter "Company", "we", "us", "our") is a private limited company incorporated under the Companies Act, 2013, operating from Bengaluru, Karnataka, India. For the purposes of the Information Technology Act, 2000 and the Consumer Protection Act, 2019, we are the intermediary and service provider in respect of this website and the event management services offered through it.

3. Eligibility

You must be at least 18 years of age and legally competent to enter into contracts under the Indian Contract Act, 1872 to use this Site or engage our services. By using the Site, you represent and warrant that you meet these eligibility requirements. If you are accessing the Site on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. In compliance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you must not:

• Use the Site in any manner that violates any applicable Indian or international law or regulation.
• Post, transmit, or distribute any content that is defamatory, obscene, pornographic, hateful, or otherwise objectionable under Indian law.
• Transmit unsolicited commercial communications (spam) in violation of applicable law.
• Attempt to gain unauthorised access to any part of the Site, its servers, or any connected systems.
• Introduce viruses, trojans, worms, or other malicious or technologically harmful material.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.
• Reproduce, duplicate, copy, or re-sell any part of the Site without our prior written consent.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to report any unlawful activity to the relevant law enforcement authorities in accordance with our obligations under the IT Act, 2000.

5. Intellectual Property Rights

All content on this Site, including but not limited to text, graphics, logos, images, audio clips, video, data compilations, and software, is the property of Mindsspeak International or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for personal, non-commercial purposes. You may not:

• Reproduce, modify, distribute, or create derivative works from any content without our prior written consent.
• Use our trademarks, logos, or brand names without authorisation.
• Remove or alter any copyright, trademark, or other proprietary notices.

Any unauthorised use may constitute an infringement of our intellectual property rights and may give rise to civil and criminal liability under Indian law.

6. Event Management Services

6.1 Nature of Enquiries

Enquiries submitted through this Site do not constitute an offer or a binding contract under the Indian Contract Act, 1872. A binding contract is formed only upon execution of a separate written service agreement between you and Mindsspeak International Private Limited, duly signed by authorised representatives of both parties.

6.2 Service Terms

All event management services are subject to the specific terms, scope of work, pricing, payment schedule, deliverables, and timelines set out in the individual service agreement. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail.

6.3 GST and Taxes

All fees and charges for our services are exclusive of Goods and Services Tax (GST) and any other applicable taxes unless expressly stated otherwise. GST will be charged at the applicable rate in accordance with the Central Goods and Services Tax Act, 2017 and the Integrated Goods and Services Tax Act, 2017.

6.4 Cancellation and Refunds

Cancellation and refund terms are governed by the individual service agreement. In the absence of a specific agreement, the following general policy applies: cancellations made more than 30 days before the event date may be eligible for a partial refund of advance payments, less any costs already incurred. Cancellations within 30 days of the event date are generally non-refundable. All refund claims are subject to our review and applicable deductions.

6.5 Force Majeure

Neither party shall be liable for failure or delay in performance of obligations due to circumstances beyond their reasonable control, including acts of God, natural disasters, pandemic, government orders, civil unrest, or any other event constituting force majeure under Indian law. In such cases, the affected party shall notify the other party promptly and the parties shall endeavour to reschedule or find an equitable resolution.

7. Consumer Rights

Where you are a consumer as defined under the Consumer Protection Act, 2019, you are entitled to the rights and protections afforded under that Act, including the right to seek redressal for deficiency in services. Our Grievance Officer (details in Section 12) is designated to handle consumer complaints. You may also approach the appropriate Consumer Disputes Redressal Commission if your complaint is not resolved to your satisfaction.

8. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted under Indian law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Information on this Site is provided for general informational purposes only and does not constitute professional, legal, financial, or other advice.

9. Limitation of Liability

To the fullest extent permitted by applicable Indian law, Mindsspeak International Private Limited, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Site or our services.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the amount paid by you to us for the specific service giving rise to the claim in the three months preceding the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Indian law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mindsspeak International Private Limited and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit or transmit through the Site.

11. Third-Party Links and Services

The Site may contain links to third-party websites, including our event partners (NISA RISE at nisarise.com and Islamic Aqar at islamicaqar.com). These links are provided for your convenience only. We have no control over the content, privacy practices, or terms of those sites and accept no responsibility for them. Accessing third-party sites is at your own risk and subject to their respective terms and privacy policies.

12. Grievance Redressal

In accordance with the Information Technology Act, 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Consumer Protection Act, 2019, we have designated a Grievance Officer to address complaints:

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference and complies with the Digital Personal Data Protection Act, 2023 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

14. Amendments to These Terms

We reserve the right to modify these Terms at any time. Amended Terms will be posted on this page with a revised date. Your continued use of the Site after the posting of amended Terms constitutes your acceptance of the changes. We recommend reviewing these Terms periodically.

15. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

16. Waiver

No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any breach of these Terms shall not be construed as a waiver of any subsequent breach.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Mindsspeak International Private Limited with respect to your use of the Site and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the same subject matter.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved as follows:

• Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.
• Arbitration: If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Bengaluru, Karnataka, India. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties.
• Courts: Notwithstanding the above, either party may seek interim or injunctive relief from the competent courts in Bengaluru, Karnataka, India. For matters not subject to arbitration, the parties submit to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
